TwoPoints Terms of Use

1. Acceptance of Terms
These Terms of Use ("Terms") govern access to and use of the TwoPoints software platform, including the web application, APIs, and related services (collectively, the "Services") provided by Standard Foundry Inc. ("Company," "we," "us," or "our"). By accessing or using the Services, you ("User") agree to be bound by these Terms. If you are accessing the Services on behalf of an organization ("Customer"), you represent and warrant that you are authorized to do so and to bind the Customer to applicable obligations.
If you do not agree to these Terms, you must not access or use the Services.
2. Relationship to Enterprise Agreements
If the Services are provided to you pursuant to a written software license agreement, subscription agreement, or proposal between Company and Customer (collectively, an "Enterprise Agreement"), that Enterprise Agreement governs in the event of any conflict. These Terms apply only to individual Authorized Users and only to the extent they do not conflict with the Enterprise Agreement.
3. Eligibility and Authorization
Authorized Users may include the Customer's employees, contractors, consultants, students, research participants, clients, or other individuals expressly permitted by the Customer to access or interact with the Services ("Authorized Users"). You may use the Services only if:
- you are using the Services solely for the Customer's internal business, innovation, academic, research, instructional, or survey purposes; and
- your access has not been suspended or terminated.
4. Accounts and Security
You are responsible for:
- maintaining the confidentiality of your login credentials (if any);
- all activity that occurs under your account; and
- promptly notifying Customer or Company of any suspected unauthorized access.
You may not share accounts or credentials. Company may implement authentication, access controls, logging, and monitoring to protect the Services.
5. Permitted Use
Subject to these Terms and the applicable Enterprise Agreement, you may use the Services solely to:
- access authorized features; and
- perform internal business, operational, analytical, innovation, improvement, or decision-support activities.
No other use is permitted.
6. Acceptable Use Restrictions
You may not, directly or indirectly:
- reverse engineer, decompile, disassemble, or attempt to derive source code;
- circumvent security, rate limits, or access controls;
- use the Services to develop, train, benchmark, or validate competing products;
- scrape, crawl, or extract data except as expressly permitted;
- upload unlawful, infringing, malicious, or unauthorized content;
- interfere with or disrupt the integrity or performance of the Services; and
- misrepresent your identity, authority, or affiliation.
Company may investigate suspected violations and suspend access immediately if necessary.
7. Customer Data and Confidentiality
Customer Data remains owned and controlled by the Customer. Users must:
- access Customer Data only as authorized;
- maintain confidentiality of non-public information; and
- comply with Customer policies and applicable law.
Unauthorized disclosure or misuse of Customer Data may result in immediate suspension.
8. AI-Enabled Features and Output
Certain features of the Services may leverage artificial intelligence or machine-learning technologies, including third-party AI providers. You acknowledge and agree that:
- outputs are generated probabilistically based on inputs;
- outputs may be inaccurate, incomplete, or unsuitable without human review;
- outputs should not be relied upon as the sole basis for decisions; and
- you are responsible for validating outputs before use.
Company makes no guarantees regarding AI output accuracy, completeness, or fitness for purpose.
9. Intellectual Property
The Services, including all software, documentation, workflows, interfaces, and underlying technology, are owned by Company or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms or the applicable Enterprise Agreement.
10. Obligations
Company's contractual obligations are owed solely to the Customer under the applicable Enterprise Agreement. The Customer is responsible for determining the appropriateness of the Services for academic, research, instructional, or survey use, and for complying with applicable education, research, and privacy laws governing its Authorized Users. Nothing in these Terms creates any direct contractual obligation between Company and individual Authorized Users.
11. Monitoring and Enforcement
Company may:
- monitor usage for security, compliance, and operational purposes;
- enforce usage limits and access controls; and
- suspend or terminate access for violations, legal compliance, or security risks.
Company is not required to provide advance notice where immediate action is reasonably necessary.
12. Suspension and Termination
Your access may be suspended or terminated:
- at Customer's direction;
- upon termination or expiration of the Enterprise Agreement;
- for violation of these Terms; or
- for security or legal compliance reasons.
Upon termination, you must immediately cease use of the Services.
13. Disclaimers
THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO USE OF THE SERVICES.
15. Governing Law
These Terms are governed by the laws of the State of West Virginia, without regard to conflict-of-law principles.
16. Changes to These Terms
Company may update these Terms from time to time. Material changes will be communicated through the Services or other reasonable means. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
